The Heat Studios is operated by Avyrus Edge, LLPIN ACZ-0958. In these Terms, “THS”, “The Heat Studios”, “we”, “us” and “our” refer to that legal entity.
About these Terms
By using this website, submitting an enquiry, requesting a discovery call, approving a proposal, making a payment or otherwise engaging THS, you agree to these Terms to the extent applicable to that interaction.
Website content is provided to explain our services and approach. It is not by itself a binding quotation, offer or guarantee that THS will accept a project.
Service engagements
A project begins only after the relevant scope and commercial terms have been approved in the manner specified by THS. Approval may be recorded through a proposal, quotation, Sprint Blueprint, statement of work, email, electronic message, invoice, advance payment or another documented method.
If a project-specific document contains terms that differ from these website Terms, the project-specific terms will apply to that project to the extent of the difference.
A discovery call or initial conversation is for understanding the requirement and does not itself create a service engagement.
Scope of work and changes
THS will perform or coordinate only the work included in the agreed scope. Deliverables, exclusions, revisions, responsibilities, client inputs and milestones may be described in the relevant project document.
Additional deliverables, changed specifications, additional revisions, additional platforms or other requests outside the agreed scope may require revised fees and timelines.
Specialists and third-party providers
THS is a managed execution studio. Some projects may involve independent specialists or third-party providers such as manufacturers, packaging vendors, photographers, creators, developers, logistics providers, technology providers, chartered accountants, company secretaries or lawyers.
Unless expressly stated otherwise, THS may coordinate such work without representing that every specialist service is performed directly by THS.
Legal, tax, accounting, regulatory or professional advice requiring a qualified professional will be provided by the relevant professional where applicable. THS does not independently guarantee registrations, approvals, certifications or regulatory outcomes.
Your responsibilities
You agree to provide accurate information, materials, decisions, approvals, feedback and access needed for the agreed work.
- You are responsible for ensuring that materials and information you provide may lawfully be used for the project.
- You are responsible for reviewing and approving final business decisions, claims, product information, specifications and deliverables requiring your approval.
- You should provide required inputs and approvals within agreed or reasonable timeframes.
- You remain responsible for your own business obligations except where a specific responsibility is expressly assigned to THS or an engaged professional in writing.
Fees, taxes and external costs
Fees, advances and payment milestones will be stated in the applicable proposal, quotation or invoice.
Unless expressly stated otherwise, applicable GST and statutory taxes are additional to quoted professional fees.
Government fees, statutory charges, professional filing fees, manufacturing, packaging production, shipping, creator fees, advertising spend, software, licences, domains, marketplace charges and other third-party costs are not included unless the approved scope says otherwise.
THS may pause work where an agreed payment remains overdue after reasonable notice.
Timelines
Timelines are based on the agreed scope and known dependencies at the time they are provided.
Timelines may reasonably change because of delayed client inputs, scope changes, specialist availability, manufacturer lead times, platform approvals, third-party delays, logistics issues or other matters outside THS's reasonable control.
Cancellation and refunds
Cancellation and refund eligibility depends on the approved project terms, the stage of the work, work already completed and third-party commitments already made.
Once work has started, THS may retain amounts reasonably attributable to completed work, committed resources and non-recoverable third-party costs.
If THS is unable to perform a material portion of an agreed service and no reasonable alternative is accepted, any refund due will ordinarily relate to the unperformed portion.
Nothing in this section limits any statutory consumer remedy that cannot lawfully be excluded.
Manufacturing, platforms and business outcomes
Manufacturing, packaging, Shopify, marketplaces, creator collaborations, websites, photography, video and other work may depend on third-party vendors, platforms and conditions outside THS's control.
You remain responsible for approving final samples, specifications, packaging, artwork, claims and other business decisions before production or publication where applicable.
THS does not guarantee sales, revenue, traffic, rankings, conversions, creator performance, government approvals, marketplace approvals or other commercial outcomes.
Intellectual property and confidentiality
You retain ownership of materials you lawfully owned before providing them to THS. By providing those materials, you give THS and relevant project specialists the limited permission needed to use them for the agreed work.
Ownership or usage rights in final deliverables will be determined by the applicable project terms and, unless otherwise agreed, will be transferred or licensed only after all amounts due for the relevant work have been paid.
THS retains its pre-existing know-how, methodologies, reusable systems, templates, internal tools and processes. Third-party assets remain subject to their own licence terms.
THS will use reasonable care with confidential business information. Completed work will only be used publicly as portfolio or case-study material where appropriate permission exists.
Disclaimers and limitation of liability
THS will use reasonable skill and care when performing the services it agrees to undertake.
To the maximum extent permitted by law, THS will not be liable for indirect, incidental, special or consequential losses, including loss of anticipated profits or business opportunities, where such exclusion is legally permissible.
Subject to liabilities that cannot lawfully be excluded, THS's aggregate liability arising from a specific project will not ordinarily exceed the fees actually paid to THS for the portion of the project giving rise to the claim.
Nothing in these Terms removes statutory consumer rights or excludes liability where exclusion is prohibited by law.
Suspension, termination and events outside our control
THS may reasonably pause or terminate an engagement for material non-payment, unlawful activity, abuse, material breach or where the project cannot continue safely or lawfully.
Where reasonably possible, THS will first communicate the issue and provide an opportunity to resolve it.
Neither party will be responsible for delay caused by circumstances reasonably outside its control, including major platform outages, government restrictions, natural disasters, infrastructure failures, strikes, supply-chain disruption or comparable events.
Governing law, consumer rights and contact
These Terms are governed by the laws of India. Subject to applicable statutory consumer rights and any project-specific dispute terms, disputes will be subject to the competent courts at [CITY, STATE].
Nothing in these Terms is intended to waive a right available to an eligible consumer under applicable Indian law.
